CHANGES TO THE COCA-COLA AMATIL BOARD OF DIRECTORS

Coca-Cola Amatil ("Amatil", "the Company" ASX: CCL) today announces that Mr David Gonski will retire as Chairman of the Board and Non-Executive Director of the Company following the completion of the Annual General Meeting in May 2017. Mr Gonski will be succeeded as Chairman by Ms Ilana Atlas.

Ms Atlas joined the Amatil Board as a Non-Executive Director in February 2011. Ms Atlas has been a member of all Board Committees at different stages. She is currently the Chairman of the People Committee and a member of the Audit & Risk, Related Party, and Nominations Committees. Ms Atlas is presently a director of Westfield Corporation Limited and Australia and New Zealand Banking Group Limited.

Mr Gonski has served as Amatil's Chairman for the past 16 years. In May 2015 Mr Gonski announced that he would not seek re-election and would stand down from the Board between that date and the end of the 2018 Annual General Meeting.

Commenting on his retirement, Mr Gonski said it had been an honour and privilege to be directly involved in the ongoing successful development of Amatil.

"The 2016 financial results demonstrate the strong position I am leaving the Company in, with

both good growth and excellent cash flows.

"The management team led by Alison Watkins, who has now been Group Managing Director for almost three years, is working well and delivering sustainable performance.

"Through renewal over the last 18 months, the Board has achieved an excellent balance between those who have been there for more than five years and those who have just been appointed.

"It has been a pleasure to serve as Chairman of what is such a great company. I have enormous respect for my successor Ilana Atlas, who understands Amatil's business operations and has the necessary skills to be an excellent Chairman."

Commenting on the retirement of Mr Gonski, Chairman-elect Ms Atlas said, "David has been an outstanding Chairman of the Company, serving with energy and absolute professionalism over the past 16 years."

"David has provided exceptional leadership to the Board and Company and we have all benefitted from his guidance and wise counsel," said Ms Atlas.

"During David's chairmanship, Amatil has delivered total shareholder returns of around 450 per cent, which is an excellent performance and significantly above the ASX 50 index over that time," said Ms Atlas.

"I welcome the opportunity to be Chairman of this dynamic group. We have a strong and exciting future ahead of us at Amatil and I look forward to working with the Board and Management in continuing to execute our strategy," said Ms Atlas.

Additional Board Update

Coca-Cola Amatil also announces the appointment of Mr Paul O'Sullivan as a Non-Executive Director, effective 1 March 2017 as part of the Board's ongoing renewal process.

Mr O'Sullivan is currently on the Board of Commissioners of Telkomsel Indonesia, the largest mobile communications company in Indonesia, a Director of Healthscope and Chairman of Optus.

Mr O'Sullivan was previously Chief Executive Officer of Singtel Group Consumer where his responsibilities covered operations in Singapore and Australia, as well as Singtel's investments in Indonesia and other developing markets. He was also previously Chief Executive Officer of Optus. He has worked in various international management roles at the Colonial Group and the Royal Dutch Shell Group in Canada, the Middle East, Australia and the United Kingdom.

Amatil Chairman, Mr David Gonski said, "We are delighted that Paul has joined the board. He has extensive experience as a chief executive officer and, importantly, in markets with direct relevance to Amatil."

"Paul has a track record of driving business transformation, investing to create growth and is experienced in high growth Asian markets. His success leading in complex regulatory environments combined with his knowledge of digital technology, innovation, disruption and the youth market will greatly add to the Board," said Mr Gonski.

Mr O'Sullivan has previously held directorships with Bharti Airtel India and the Australian Business Community Network. He is also the Deputy Chairman of St George & Sutherland Medical Research Foundation and a member of the Board of the National Disability Insurance Agency.

Mr O'Sullivan will be considered for re-election at the Annual General Meeting in May 2017.
