In accordance with article 228 of the consolidated text of the Spanish Stock Market Act approved by the Legislative Royal Decree 4/2015 of 23 October, CODERE, S.A. hereby informs of the following:

SIGNIFICANT EVENT

On the date hereof Codere, S.A. (the "Company") announces that its wholly-owned Luxembourg subsidiary Codere Finance 2 (Luxembourg) S.A. (the "Issuer") launched an offering of senior secured notes denominated in Euros and U.S. Dollars (the "Notes").

The pricing and terms of the Notes are subject to market conditions and other factors. The aggregate principal amount of the Notes (along with existing cash on balance sheet, as the case may be) will be used to (i) refinance the €865.2 million of existing bonds, including principal and interest, (ii) fund call premiums payable in connection with the repayment of the second lien notes and third lien notes and (iii) to pay commissions, fees and other expenses.

The Notes will be offered to certain non-United States persons in transactions outside the United States pursuant to Regulation S under the Securities Act of 1933, as amended (the "Securities Act") and in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act. The Notes will be guaranteed on a senior basis by the Company and certain subsidiaries of the Company (the "Guarantors"). The Notes will rank pari passu with all other existing and future senior secured indebtedness of the Issuer.

The Notes and related guarantees have not been and will not be registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States or to, or for the benefit of, United States persons absent registration under, or an applicable exemption from, the registration requirements of the Securities Act.

Prior to this offering, there has been no market for the Notes. Application is expected to be made to the Irish Stock Exchange for the approval of listing particulars and for the Notes to be admitted to the Official List and trading on the Global Exchange Market, which is the exchange regulated market of the Irish Stock Exchange. The Global Exchange Market is not a regulated market for the purposes of Directive 2004/39/EC.

In addition, the Company, as parent guarantor, and Codere Newco, S.A.U., as borrower, amongst others, intend to enter into a €95,000,000 multi-currency Super Senior Revolving Credit Facility Agreement (the "Revolving Credit Facility") governed by English law. The Revolving Credit Facility will be guaranteed on a senior basis by the Company and certain of its subsidiaries, including the Issuer. The Revolving Credit

Facility will be secured by the same collateral as the Notes; however, in the event of enforcement, the Revolving Credit Facility and certain surety bond facilities and hedging obligations would receive proceeds in priority to the Notes. The initial utilisation under the Revolving Credit Facility is subject to, among other things, the effective issuance of the Notes.
