Colruyt Group obtains approval of the Belgian Competition Authorities to join Belgian fashion retailer ZEB

On 21 June 2014, Colruyt Group signed an agreement to acquire an interest in the

Belgian fashion retailer ZEB. The Belgian Competition Authorities authorised on 14

August 2014 the execution of this agreement.

Following this authorisation, ZEB management and Colruyt Group completed the first step in their transaction on 22 August 2014. Hence, Colruyt Group acquires a 40% interest with a call option to increase its stake to 50% before the end of 2014. Colruyt Group and the management also agreed on put and call options that provide Colruyt Group with the possibility to gain control over ZEB over a ten year period.

Colruyt Group's entry into ZEB fits with the group's ambition to respond to the consumer's need in the different stages of his life cycle through adapted store concepts.
