10 May 2017 Despatch of Rights Issue Offer Document and Entitlement

and Acceptance Forms

Consolidated Zinc Limited (Company) confirms that, in accordance with the timetable for the Company's fully underwritten pro‐rata renounceable entitlement issue of approximately 184,504,555 New Shares on the basis of two New Shares for every five Shares held by Eligible Shareholders on the Record Date at an issue price of $0.016 per New Share, to raise up to approximately $2,952,000 (Offer), the Offer Document and accompanying Entitlement and Acceptance Forms were despatched today.

The Company notes that the following statement was inadvertently included on page 11 of the Offer Document that was lodged with the ASX on 1 May 2017:

"If, in the reasonable opinion of the nominee, there is no viable market for the Entitlements of the Ineligible Shareholders, or a surplus over the expenses of the sale cannot be obtained in relation to the Entitlements that would have been offered to the Ineligible Shareholders, then those Entitlements will be allowed to lapse. The Shares not taken up will form part of the Shortfall Shares to be offered under the Shortfall Offer."

The Company confirms that the nominee must sell the Entitlements of Ineligible Shareholders and accordingly, the statement above has been removed from the Offer Document that has been sent to Shareholders. A copy of the Offer Document sent to Shareholders accompanies this statement.
