Purchases of Shares

Flybe Group Plc('Flybe' or the 'Company')

Further to the announcement on 20 September 2016, Flybe has been notified of additional purchases by its employee benefit trusts in the amount of 1,916,919 Flybe shares in the Company at an average price of 52.36p per share. This concludes the purchases for the employee share incentive scheme, whereby a share grant of 5% of basic salary is being made to Flybe employees employed as at 31 July 2016. The awards are being made by two separate trusts.

The Company also announces that on 26 September 2016, one of those trusts made a grant of the share awards due to the Executive Directors and a partial grant to certain senior employees deemed to be Persons Discharging Management Responsibility (PDMRs) of the Company. This gives the individuals detailed below the right to receive or acquire Ordinary Shares of 1p each in the capital of the Company ('Shares') as follows:

The number of Shares awarded here is valued at £3,600 per employee based upon a price of 51.42p, which was the average closing price for the 3 dealing days preceding the grant day.

Vesting of the shares is deferred for three years from 26 September, 2016.

A further announcement on the completion of the share grants to the Company's PDMRs will be made shortly.
