Federal Grid Company AGM Agenda and FY 2017 Dividend Recommendations

Federal Grid Company of Unified Energy System ('Federal Grid Company' or 'the Company') (Moscow Exchange, LSE: FEES), part of PJSC ROSSETI Group of Companies, and the owner and operator of the Unified National Electricity Grid ('UNEG'), announces that its Board of Directors has recommended that shareholders at the Company's annual general meeting ('AGM') approve a 2017 dividend of RUB 20,307,801 thousand including the 1Q 2017 interim dividends that have already been paid, leaving a remaining dividend for 2017 of RUB 18,884,671 thousand (RUB 0.014815395834 per ordinary share, or equal to RUB 7.407697917 per GDR).

The record date for shareholders eligible to receive the final 2017 dividend has been recommended to be set as 18 July 2018.

The Board of Directors approved the following agenda for the AGM:

1) Approval of the 2017 Annual Report of FGC UES, PJSC;

2) Approval of the 2017 annual accounting (financial) statements of FGC UES, PJSC;

3) Approval of the distribution of profit and losses of FGC UES, PJSC for full reporting year 2017;

4) The amount, term and form of payment of dividends on shares of Federal Grid Company following the results of the 2017 reporting year, and the record date for shareholders eligible to receive dividends;

5) Payment of Remuneration to members (non-government officials) of the Company's Board of Directors;

6) Payment of Remuneration to members (non-government officials) of the Company's Audit Commission;

7) Election of members of the Board of Directors of FGC UES, PJSC;

8) Election of members of the Audit Commission of FGC UES, PJSC;

9) Approval of the revised edition of the Regulation on Remuneration and Compensation to Members of the Audit Commission of FGC UES, PJSC;

10) Approval of the independent auditor of FGC UES, PJSC;

11) Approval of the membership of FGC UES, PJSC in the Russian Association of Employers 'The Russian Union of Industrialists and Entrepreneurs' (RSPP).

The record date for shareholders entitled to participate in the AGM is 4 June 2018.

The Annual General Meeting (AGM) will take place at 11:00 (Moscow time) on 28 June 2018 in Moscow at 'R&D Center 'FGC UES', JSC, 22 Kashirskoe shosse, building 3, 2nd floor. Registration will open at 09:30 am (Moscow time).
