Notification of transaction by connected person of Person Discharging Managerial Responsibilities

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1, Glencore Xstrata plc (Glencoreor the Company) notifies that on 19 September 2013 FR Galaxy Holdings S.a.r.l. (FR) notified the Company that:

1.         on 19 September 2013, FR entered into a financing arrangement with Deutsche Bank AG, London Branch (Deutsche Bank) pursuant to which FR granted security over 149,159,999 ordinary shares in the capital of the Company (the Shares) in favour of Deutsche Bank. The arrangement involves the absolute transfer of the Shares to Deutsche Bank with a right of redelivery of the same number of Shares to maintain FR's commercial exposure to the Shares.  The Shares transferred to Deutsche Bank may intermittently be transferred in and out of the relevant security account and, on redelivery to the account, will be subject to the security arrangement. To the extent any relevant distribution from the Company is (or is elected to be) in specie, the resultant shares will also form part of this security arrangement;

2.         the arrangement provides for FR to control the voting rights attaching to the Shares, subject to customary limited exceptions;

3.         the transaction constitutes a notifiable transaction under DTR 3.1.2;

4.         the transaction took place in London; and

5.         FR is a "connected person" of Mr William Macaulay, a Director and "person

discharging managerial responsibilities" of Glencore.
