CHICAGO, Feb. 9, 2017 /PRNewswire/ -- Hill-Rom Holdings, Inc. ("Hill-Rom" or the "Company") (NYSE: HRC) today announced the planned private offering, subject to market and other conditions, of $300 million in aggregate principal amount of senior unsecured notes due 2025 (the "Notes"). The Notes will be guaranteed on a senior unsecured basis by certain of Hill-Rom's existing and future wholly-owned domestic restricted subsidiaries.

The Company intends to use the net proceeds from the offering of the Notes, together with available cash balances, to finance the Company's previously announced acquisition of Mortara Instrument, Inc. (the "Mortara Acquisition"), and to pay related transaction fees and expenses. The offering, however, is not conditioned upon the completion of the Mortara Acquisition, which, if completed, will occur subsequent to the closing of the offering. The Notes will be subject to a special mandatory redemption if the Mortara Acquisition is not consummated.

The Notes and related guarantees have not been and will not be registered under the Securities Act of 1933, as amended (the "Securities Act") or any state securities laws.
