Notice to the Market
Belo Horizonte, April 11, 2016 - Kroton Educacional S.A. ('Kroton' or 'Company' - (BM&FBovespa: KROT3; OTCQX: KROTY), in compliance with CVM Instruction 358/2002, as amended and in reference to the divestment of the UNIASSELVI Group announced through the Material Fact notices dated October 26, 2015 and February 29, 2016, announces to its shareholders and the market that, with regard to the additional price of up to R$255 million to which Kroton is entitled once all financial and operating targets established in the contract are fulfilled, Kroton recently fulfilled part of these targets, which will entitle it to receive a portion of the additional price in the approximate amount of R$86 million, to be paid in annual installments from 2018 to 2022, restated by the variation in the IPCA index until the payment date of the respective installment. Kroton is making dedicated efforts to fulfill the remaining targets and will keep its shareholders and the general market informed of any developments regarding the matters announced herein.
