Lansdowne Security Inc., formerly Hudson's Grill International, Inc., is a shell company. The Company is focused on operating businesses and business opportunities with the intent to acquire or merge with such businesses. Its principal purpose is to locate and consummate a merger or acquisition with a private entity. The Company is in development stage. Prior to August 11, 2008, the Company franchised Hudson's Grill Restaurants. Hudson's Grill Restaurants were full-service restaurants that served lunch and dinner and a range of alcoholic beverages. The Company entered into an asset purchase agreement on August 11, 2008, with Concept Franchising, LLC. Concept Franchising, LLC purchased all of the assets and assumed all of the liabilities of the Company with the exception of the assets relating to the ability of the Company to exist as a corporation. Since August 11, 2008, the Company has not conducted any business operations.
