Group S.p.A.'s Board of Directors today passed a resolution that will allow the Group, as it

deems appropriate,

to waive the current mandatory publication of information

document

for significant transactions, pursuant to article 3 of the Consob Resolution no. 18079 dated

20 January 2012.
