The Management Board of mBank S.A. announces that on 1 September 2017 IPOPEMA Securities S.A. sold:

- 2,690 C-series bonds with pre-emptive right issued by mBank S.A. under the incentive programme for members of the Management Board of mBank S.A. implemented based on Resolutions No. 20 and No. 21 of the Annual General Meeting of mBank S.A. of 14 March 2008 ('Programme I')

- 5,711 D-series bonds with pre-emptive right issued by mBank S.A. under the incentive programme for key staff of mBank S.A. Group implemented based on Resolutions No. 2 and No. 3 of the Extraordinary General Meeting of mBank S.A. of 27 October 2008 ('Programme II')

2,690 C-series bonds with pre-emptive right and 5,711 D-series bonds with pre-emptive right issued by mBank S.A. under Programme I and Programme II were purchased by IPOPEMA Securities S.A. from Dom Maklerski mBanku S.A. after IPOPEMA Securities S.A. had assumed the role of a new trustee and issuance agent of the bonds.

The aforementioned bonds were sold by IPOPEMA Securities S.A. to eligible persons in order to grant them the pre-emptive right to take up ordinary bearer shares of mBank S.A. which will be issued under Programme I and Programme II.

The average sale price per bond is PLN 0.01.

At the same time, on 1 September 2017, mBank S.A. redeemed a total of 8,401 bonds from persons eligible under Programme I and Programme II.

The redemption of the bonds from persons eligible under Programme I was based on Resolution No. 21 of the Annual General Meeting of mBank S.A. of 14 March 2008.

The redemption of the bonds from persons eligible under Programme II was based on Resolution No. 3 of the Extraordinary General Meeting of mBank S.A. of 27 October 2008.

Under Programme I and Programme II, mBank S.A. redeemed the bonds at the price of PLN 0.01 per bond in order to annul them.

On 1 September 2017, under Programme I and Programme II, mBank S.A. annulled all 8,401 bonds.
