RESPONSE TO THE PRESS RELEASE
ISSUED TODAY BY VIVENDI

With regard to the press release issued today by Vivendi, Mediaset wishes to make clear the following.

Since 25 July 2016, the date of the official Vivendi letter reneging the signed definitive and binding contract, there have been no contacts between the two companies. There is therefore no basis in fact to the claim that 'Vivendi has continuously sought alternative solutions over the past several months'. Not only has there been no 'constructive approach', but Vivendi has ceased making any approach at all.

Moreover, the repeated references made also in the latest press release, to 'unrealistic business plans' ? that we should once again point out have nothing to do with the analysis of the results of Premium conducted, obviously, prior to the signature ? constitute inappropriate interference in the activities of a business asset of a listed company. Action that not only is causing additional reputational damage, but also undermining the relative share price.

For all of these reasons, we accept that a resolution will only be found in court, where the evidence will clearly demonstrate the actual roles played that are currently being confused. In this light, it is clear that the request for the seizure of Vivendi's shares, far from being an attempt to intimidate, is merely an attempt to protect the interests of both Mediaset and its shareholders.
