ISSUE No. 2: On preliminary approval of interrelated transactions between IDGC of the North-West PJSC and Sberbank PJSC related to the issuance (possibility of issuance) of bank guarantees, within the frames of which the Company acts as the principal, for a total amount not exceeding RUR 1,000,000,000 (One billion rubles).

Preliminary approve interrelated transactions between IDGC of the North-West PJSC and Sberbank PJSC related to the issuance (possibility of issuance) of bank guarantees, within the frames of which the Company acts as the principal, for a total amount not exceeding RUR 1,000,000,000 (One billion rubles) on the following essential conditions:

1. General agreement on issuance of bank guarantees

Limit of issuance of Guarantees: 970 000 000 (Nine hundred seventy million) rubles of the Russian Federation

Guarantor: Sberbank, PJSC

Principal: IDGC of the North-West, PJSC."

Subject of the General Agreement: The General Agreement regulates legal relations between the Parties on issuance/change of conditions of Guarantees and reimbursement of sums paid by the Guarantor on Guarantees arising in case of Acceptance by the Guarantor of Offers of the Principal and execution of obligations related to issuance of Guarantees within the framework of the General Agreement and the existing legislation of the RF.

Taking into account the Basic obligation, the Guarantor considers Offers sent by the Principal and issues Guarantees/changes conditions of issued Guarantees in the order and under conditions specified in the General Agreement, and the Principal undertakes to reimburse by way of recourse sums paid to the Beneficiary on Guarantees, pay reimbursement for issuance of Guarantees and execute other obligations.

Payment for opening of Limit of issuance of Guarantees: is absent.

Payment for use of Limit of issuance of Guarantees: is absent.

Amount of reimbursement for issuance of Guarantees: not exceeding 0.45% (zero point forty five per cent) per annum from each issued Guarantee starting from the Date of issuance of the appropriate Guarantee (inclusive) and ending by the latest date of the Term of effect of the Guarantee (inclusive).

Term of effect of the General Agreement: 24 months.

Term of effect of Guarantees: up to 365 calendar days (inclusive).
