MATERIAL EVENT
Natura Cosméticos S.A. ("Natura" or "Company") hereby informs its shareholders and the market, pursuant to the provisions of CVM Instruction No. 358/2002, following the MaterialFact dated December 20, 2012, that the Company concluded, on this date, the acquisition of 65% of Emeis Holdings Pty Ltd. ("Emeis"and "Acquisition"), which operates under the brand name "Aesop". The amount paid for the Acquisition was AUD$68.25 million, subject tocertain adjustments.
As required by Article 256, I, of Brazilian Corporate Law, the Acquisition will be ratified at an Extraordinary Shareholders' Meetingto be held in April of 2013. Our shareholders will be duly informed, at the occasion of the Shareholders' Meeting call notice, whether such Acquisition entails withdrawal rights, pursuant to Article 256, paragraph 2, of the Brazilian Corporations Law.
