Nireus Aquaculture : Notice of Intention Sale of Fractional Shares

NIREUS AQUACULTURE SA. informs the investing public that:

Following the increase of share capital which occurred due to the merger of SEAFARM IONIAN SA by NIREUS SA with absorption of the first by the second and the crediting of shares on 24th March 2016, fractional shares resulted for the existing shareholders of NIREUS SA corresponding to 3.812 integral shares.
The eligible shareholders holding fractional rights from the above-mentioned increase will receive the amount of the 3.812 shares to be sold, in the proportion of each one shareholder.
The Company announces that after the six-month period (24.09.2016) from the introducing new shares, at which date the deadline expires gives the shareholders the right to gain fractional shares in order to form units, it will proceed to the sale of these fractional shares and the return of the rational amount to beneficial shareholders.
The fractions will be sold according to the article 53 of L.3371 / 2005 and the Hellenic Capital Market Commission decision 13/375 / 17.03.2006.
NIREUS AQUACULTURE SA will follow the liquidation process as defined by the Law. The company will address a request to the Hellenic Capital Market Commission decision for the authorization of the sale, which will include the realization of the shares sale, the appointment of an Athens Exchange Member for its administration and the starting date of the process. The shares will be sold through the Athens Exchange and the amount of the sale will be deposited to the Deposits and Loans Fund, which will be available to the beneficiaries.
