Ohl Mexico de CV : México makes available to the general investing public, an English translation of the Offering Memorandum of the Mandatory Acquisition Tender Offer launched by Magenta Infraestructura, S.L.

Mexico City, Mexico, April 9th 2018 - OHL Mexico S.A.B de C.V. ('OHL Mexico' or 'the Company') (BMV: OHLMEX), hereby informs to the general investing public that, Today, OHL México made available to the general investing public, a translation into English language of the offering memorandum (folleto informativo) of the mandatory acquisition tender offer (the 'Offer') launched Today by Magenta Infraestructura, S.L. (the 'Offeror'), to acquire up to 100% of the publicly held shares of OHL México (the 'Offering Memorandum'), which may be consulted at OHL México's website: www.ohlmexico.com.mx. The translation into English language of the Offering Memorandum has been prepared by the Offeror solely and exclusively for informational purposes and has not been reviewed nor authorized by the National Banking and Securities Commission (Comisión Nacional Bancaria y de Valores) (the 'CNBV') and/or by the Mexican Stock Exchange (Bolsa Mexicana de Valores, S.A.B. de C.V.) (the 'BMV'). Neither the U.S. Securities and Exchange Commission, nor the securities regulator of any state of the United States of America, has (A) approved or disapproved the Offer, or (B) passed upon the adequacy or accuracy of the information disclosed in the Offering Memorandum. The only Offering Memorandum authorized in connection with the Offer is the Offering Memorandum in Spanish language which is available to the general investing public at the website of the CNBV www.gob.mx/cnbv, of the BMV www.bmv.com.mx and of OHL México www.ohlmexico.com.mx. From a Mexican law perspective, in the event of any discrepancy between the terms and conditions of the Offering Memorandum of the Offer and the terms and conditions of such document's translation into English language, the terms and conditions of the Offering Memorandum of the Offer shall prevail in all instances.
