Subject: Acquisition of the Mercure Unirii Hotel in Bucharest by the subsidiary of the Issuer

The Management Board of "Orbis" Spółka Akcyjna (the "Issuer" or "Orbis") informs that on 02 July 2018 its 100% owned subsidiary - Accor Hotels Romania SRL having its registered office in Bucharest, 37b Calea Victoriei, Novotel Hotel, 1st floor, apt. Office 139, District 1, Romania (the "Issuer's Subsidiary") signed with a Baron-Service SRL having its registered office at Stejaru village, Stejaru commune, Tulcea county, Romania an agreement on the basis of which Issuer's Subsidiary will purchase plot of land and building thereon (including the assets therein), which currently operates as Hotel Mercure Unirii, located at 28 Mircea Vodă Boulevard, District 3, Bucharest (the "Hotel"), together with the business related to the operation of the Hotel. The purchase price amounts to 11.35 million Euros with possible minor adjustments related to the business and financial situation of the Hotel on the date of finalization (including working capital). The transaction will be finalized (including transfer of Hotel ownership and payment of the price) within 5 (five) business days of signing of the above agreement, after fulfilment of conditions precedent, normally set in such type of transactions. The transaction is in line with Issuer's strategy for mid-market hotel assets assuming concentration of investments in key markets in the region, offering long-term value and attractive investment yield. The Hotel is currently managed by Issuer's Subsidiary.
