PELIKAN AG The merger of Susy Card GmbH as the transferring company and Pelikan Aktiengesellschaft as the transferee company has taken place with effect from 31 December 2014 (date of merger) due to the registration of the merger in the commercial register of Pelikan AG on 28th September 2015. On 2 July 2015, the merger agreement had been signed between the par- ties. The merger has become effective upon entry of the merger in the commercial register. Thus, Susy Card GmbH has transferred its entire assets including all rights and obligations pertaining thereto by way of a merger including dissolution effective from 31 December 2014 (date of merger) to Pelikan Aktiengesellschaft in its capacity as transferee in the merger (§ 2 No. 1 Reorganization Act). The objective of the merger is the simplification of corporate structures and processes for the successful further development of the business of Pelikan AG.
