CLARIFICATION ANNOUNCEMENT

Reference is made to the announcement (''Announcement'') of the Real Nutriceutical Group Limited (''Company'') dated 28 June 2016 in relation to the acquisition of the Technologies under the Technology Transfer Agreement which constituted a connected transaction under Chapter 14A of the Listing Rules. Capitalized terms used in this announcement shall have the same meanings as they were defined in the Announcement.

The Company wishes to clarify that, in the paragraph headed ''Profit guarantee given by Jiangsu Qianjin'' in the Announcement, the term ''Pharmaceutical Projects'' should bear the meaning of ''the production and sale of the Pharmaceutical Products by the Group''.

Save for the aforementioned, all other aspects of the Announcement shall remain unchanged.
