The investigation concerns whether the Company violated the Securities Exchange Act of 1934. On July 29, 2015, the U.S. Department of Commerce (“DoC”) calculated a preliminary subsidy rate of 2.04% for Resolute Forest with respect to imports of supercalendered paper from Canada. Then, on October 15, 2015, Resolute Forest announced that the DoC, after concluding a countervailing duty investigation, had determined a final subsidy rate of 17.87% for the Company. The DoC stated that the increased subsidy rate is based on the application of "adverse facts available," saying the company "did not fully cooperate with the investigation.” When the truth was revealed, shares dropped causing investors harm.
