Notice Concerning Acquisition of Own Shares in Conjunction with Treatment of Fractional Shares Resulting from Share Consolidation (Acquisition of Own Shares Pursuant to the Companies Act, Article 235, Paragraph 2, and Article 234, Paragraphs 4 and 5)

Sapporo Holdings Limited (the "Company") hereby announces that the Company, at its Board of Directors' meeting held today, passed a resolution concerning treatment of fractional shares in accordance with the Companies Act, Article 235, Paragraph 2, and Article 234, Paragraphs 4 and 5 as follows.

１．Overview of Acquisition

Pursuant to a resolution of the 92nd Ordinary General Meeting of Shareholders held on March 30, 2016, the Company carried out a consolidation of shares (5 shares have been consolidated into 1 share), effective as of July 1, 2016.

Regarding the treatment of fractional shares resulting from this share consolidation, in accordance with the Companies Act, Article 235, Paragraph 2, and Article 234, Paragraphs 4 and 5, it was decided at the Board of Directors' meeting held today that the Company would purchase such fractional shares, which will be held as treasury shares, at today's closing price for the Company's common shares on the Tokyo Stock Exchange.

  1. Type of shares to be acquired: Common Shares of the Company

  2. Total number of shares to be acquired: 4,290 shares

  3. Total amount to be paid in exchange for the acquisition: 11,621,610 yen

  4. Date of the resolution to acquire the fractional shares: August 3, 2016
