Clarification for ISS' vote recommendation against independent director nominees

We are referring to ISS Proxy Analysis & Benchmark Policy Voting Recommendations on the shareholders' meeting of Siliconware Precision Industry Co., Ltd. (TWSE code: 2325, NASDAQ code: SPIL, hereafter "SPIL" or the "Company") to be held 28 June 2017. ISS recommended a vote against the independent director nominees stating that the Company has failed to disclose its annual report as of its date, and therefore lacking an analysis for shareholders to cast an informed vote.

ISS labelled independence classification for director candidates as N/A, leading to the vote recommendation against independent director nominees, due to the absence of the Company's annual report. SPIL would like to clarify:

  • the shareholders' meeting is scheduled to convene on 28 June 2017

  • the annual report was published on 19 June 2017 (seven business days prior to SPIL's shareholders' meeting)

  • in accordance with TWSE's rule governing the disclosure of annual report, the annual report is required to be filed at least seven business days prior to the convening of the regular shareholders' meeting

  • the independence and suitability of independent director candidates AND the

remunerations of all director candidates and whether their remunerations are in line with those of the executives of the Company are all well stated in the annual report

SPIL has furnished all shareholders with adequate information, including the information for shareholders to assess the independence and suitability of independent director candidates, in the annual report. You may find detailed information on all candidates within Section III of our annual report. It should also be noted that we have been releasing our annual report seven business days prior to the AGM for the past three years, and in fact ISS recommended a vote for the same independent director nominees for our AGM dated Jun 20th 2014 under the same circumstances. Additionally, we believe shareholders shall have sufficient time to cast informed vote given the annual report was disclosed seven business days prior to the shareholders' meeting.

We acknowledge ISS applies a stringent practice to recommend listed companies to file their annual reports 14 business days prior to their shareholders' meeting dates, in order for shareholders to form their voting decisions with sufficient information and time for operational processes. We would like to provide the preceding factual background for our shareholders' awareness so that you may assess the candidates and cast votes based on all available information. Going forward, we will certainly endeavor to comply with the stringent practice for the best interest of our shareholders.
