• Review of the delegation of powers

The Board of Directors, that met today, in order to align the current organizational mod el to the ones adopted by
the other Group companies and to the market "best practices", resolved to review powers confirming the powers related to the role of CEO to Mr Paolo Pierantoni, in specific skills in managing the concessionaries.
the existing delegation of consideration also to his
Mr Alberto Sacchi - taking into consideration his specific skills in the corporate and fin ancial field and his role of
CEO of the holding company ASTM S.p.A. - has been given specific powers to coordinate and oversee the administration, corporate affairs, fiscal and finance areas. Therefore both the Board of Director's resolution of 28 of April 2011 appointing him as CEO and the resolution of 2 August 2012 grating the po wers are revoked.
