Sonae Industria : Indústria, SGPS, SA informs on communication received regarding qualified shareholding and Management transaction

Under the terms and for the purposes of Articles 17 and 248-B of the Portuguese Securities Code, Sonae Indústria, SGPS, SA hereby informs having received, on the present date, from the company "TEAK CAPITAL, S.A.", the following communication:

"In accordance with Article 16.º and Article 248.º-B of the Securities Code, we inform that, on 30

April 2018, we have entered into an agreement with Pareuro B.V. under which we were granted, as a consideration for the services rendered, a call option over 2,000,000 (two million) shares representative of Sonae Indústria SGPS, S.A. share capital, exercisable on 30 April 2021 at a price per share of 4.20 euros (four euros and twenty cents). This agreement replaces and revokes the previous agreement signed on 22 February 2016 in relation to 1,702,620,000 (one thousand seven hundred and two million six hundred twenty two thousand) shares representative of Sonae Indústria SGPS, S.A. share capital (before the reverse stock split).

The above mentioned 2,000,000 shares represent 4.40% of Sonae Indústria SGPS, S.A share capital and respective voting rights.

Additionally, we hereby inform that TEAK, under the terms of this agreement, is entitled to request Pareuro B.V. to pay the difference between the Market Value of the shares object of the call option and the exercise price, the payment being made through delivery of Sonae Indústria shares valued at Market Value which, for this purpose, is the weighted average price of Sonae Indústria shares on Euronext Lisbon for the 30 trading sessions prior to 30 April 2021.

The share capital of TEAK C is held by Mr. Carlos Moreira da Silva (40%), by his wife (under the regime of separation of people and property) Mrs. Fernanda Arrepia (45%), and by TPR, B.V.

(15%), the latter being jointly held by Mr. Carlos Moreira da Silva's three descendants Tiago Moreira da Silva, Pedro Moreira da Silva and Raquel Moreira da Silva. Fernanda Arrepia and Tiago Moreira da Silva are also Directors of TEAK."
