Steinhoff - Commencement of waiver process - proposals regarding certain convertible bonds Steinhoff International Holdings N.V. (the "Company" and with its subsidiaries, the "Group") Following the Company's announcement on 2 February 2018 that it would shortly be commencing a limited waiver proposal process, the Company has today begun the process by seeking waivers from the holders of the EUR465 million convertible bonds due 2021, the EUR1,116 million convertible bonds due 2022 and the EUR1,100 million convertible bonds due 2023 issued by Steinhoff Finance Holding GmbH (the "Bonds"). The waivers being sought from the holders of the Bonds relate to the failure by the issuer to deliver certificates of compliance in light of the accounting irregularities announced by the Company on 5 December 2017 and related matters. Shareholders and other investors in the Company are advised to exercise caution when dealing in the securities of the Group. Stellenbosch, 6 February 2018
