RELIEF THERAPEUTICS HOLDING SA THERAMetrics holding AG (SIX: TMX, "THERAMetrics" or the "Company") today announces the completion of its ordinary capital increase that was announced on 19 June and 27 August 2014. The offering, which was subscribed by existing shareholders and new investors, provides THERAMetrics with net proceeds of CHF 20'073'921.36, of which CHF 11'000'000 had been made available by existing shareholder Fin Posillipo S.p.A. and used by the Company in the last months. An additional CHF 4'178'858.53 of the net proceeds consist of liabilities of the Company towards existing and new shareholders which have been converted into equity through subscription by way of set-off. The remaining net proceeds of the capital increase, i.e. some CHF 4.9 million, will be used by THERAMetrics primarily to cover ongoing costs of its Contract Research Organization activities (CRO), and furthermore to fund the costs for the expansion of its other activities and services.
The capital increase consisted of a rights offering of up to 399'344'635 new shares to existing shareholders who were offered the opportunity to purchase one new share for each share held, at a subscription price of CHF 0.08 per share. Subscription rights not taken up by existing THERAMetrics shareholders were placed with Fin Posillipo S.p.A., Pierrel S.p.A. and other new investors.
A total of 255'299'017 (equal to 63,9% of the total offer) new shares have now been entered in the Commercial Register, corresponding to a nominal value of CHF 2'552'990.17
The new shares are expected to be listed on SIX Swiss Exchange on 15 September 2014. Delivery of the new shares is expected to take place on the same day.

Das zum Teil von schon existierenden Aktionären und zum Teil von neuen Investoren gezeichnete Angebot verschafft THERAMetrics AG 20.073.921,36 CHF Vermögen, von denen 11.000.000 CHF in den vergangenen Monaten schon von Fin Posillipo S.p.A. zur Verfügung gestellt worden waren und die Gesellschaft für operative Bedürfnisse verwendet hat. Weitere 4.178.858,53 CHF der neuen Mittel kommen von der Umwandlung der Verbindlichkeiten gegenüber den existierenden und den neuen Aktionären durch Kompensation in Aktien, als Ergebnis der Zeichnung von neuen Aktien. Die etwa 4,9 Mio. CHF übriger frischer Mittel werden von THERAMetrics in erster Linie für die Deckung des zukünftigen Finanzbedarfs ihrer Contract Research Organisation (CRO-Abteilung) und ihrer anderen Abteilungen, für die Expansionsprogramme bestehen, benutzt werden.
Die Kapitalerhöhung ist durch ein Rechtsangebot von höchstens 399.344.635 neue Aktien an den existierenden Aktionären erfolgt, mit einem Verhältnis von 1:1 und einem Zeichnungspreis von 0.08 CHF pro Aktie. Der nicht gezeichnete Teil ist folglich durch eine private Platzierung, an der Fin Posillipo S.p.A., Pierrel S.p.A. und andere neue Investoren beteiligt waren, angeboten worden.
Insgesamt sind 255.299.017 neue Aktien (gleich auf 63,9% der Gesamt Angebot) eingetragen worden, das entspricht einem Nominalwert von 2.552.990,17 CHF.
Die neuen Aktien werden am 15. September an der SIX Swiss Exchange notiert und am selben Tag auch an die Aktionäre übergeben werden.

Aujourd'hui, THERAMetrics holding AG (la "Société") déclare achevée l'opération d'augmentation du capital ordinaire qui avait été annoncée le 19 juin 2014 et qui avait été décrite plus en détail le 27 août 2014.
Cette offre, qui a été souscrite aussi bien par des actionnaires de longue date que par des autres nouveaux, apporte à THERAMetrics AG une somme de 20.073.921,36 CHF, dont 11.000.000, que la Société a utilisé pour des exigences opératives, avaient déjà été mis à disposition, au cours de ces derniers mois, par Fin Posillipo S.p.A.. De plus, 4.178.858,53 CHF des moyens frais dérivent de la conversion par compensation en actions de certaines dettes que la société avait contractées avec des nouveaux actionnaires et avec des autres déjà existants, en tant que conséquence de la souscription de nouvelles actions. Les 4,9 millions environ de CHF de moyens frais qui restent, THERAMetrics les utilisera d'abord pour faire face aux exigences financières de ses divisions Contract Research Organization (CRO), outre celles de ses autres divisions qui jouissent de programmes d'expansion.
L'augmentation de capital a été possible au moyen de l'offre de droits pour un maximum de 399.344.635 nouvelles actions présentées aux actionnaires existants à cette date, avec un rapport 1:1 et un prix de souscription de 0,08 francs pour chaque action. Dans un deuxième moment, on a offert la partie qui n'a pas été souscrite par le biais d'un placement privé, qui a vu la participation de Fin Posillipo S.p.A., Pierrel S.p.A. et des autres nouveaux investisseurs.

Les nouvelles actions seront cotées au SIX Swiss Exchange on 15 Septembre 2014; pendant la même journée, elles seront aussi consignées aux investisseurs.

THERAMetrics holding AG (la "Società") comunica oggi il completamento dell'operazione di aumento di capitale ordinario annunciata il diciannove giugno 2014 e ulteriormente dettagliata in data ventisette agosto 2014. L'offerta, sottoscritta parte dagli azionisti già esistenti e parte da nuovi, porta a THERAMetrics AG 20.073.921,36 CHF di patrimonio, dei quali 11.000.000 erano già stati messi a disposizione negli scorsi mesi da parte di Fin Posillipo S.p.A, e utilizzati dalla società per esigenze operative. Altri 4.178.858,53 di franchi svizzeri dei nuovi mezzi derivano dalla conversione tramite compensazione in azioni di debiti contratti dalla Società nei confronti di azionisti esistenti e nuovi, per effetto della sottoscrizione di nuove azioni. I circa 4,9 milioni di franchi svizzeri di mezzi freschi che residuano saranno utilizzati da THERAMetrics in primo luogo per coprire le esigenze finanziarie future delle sue divisione CRO oltre a quelle delle sue altre divisioni per cui sono in essere programmi di espansione.
L'aumento di capitale è avvenuto attraverso l'offerta di diritti per un massimo di 399.344.635 nuove azioni nei confronti degli azionisti esistenti alla data, con un rapporto 1:1 ed un prezzo di sottoscrizione di 0,08 CHF per azione.
