Uralkali (LSE: URKA; the Company), announces the following decisions made by its Board of Directors at a meeting on 9 June 2014:

  • to re-elect independent director Sergey Chemezov as Chairman and Sir Robert Margetts and Dmitry Mazepin as Deputy Chairmen of the Board;
  • to confirm the current composition of the Board Committees and re-appoint independent directors as the heads of the Committees (for more details on the Board Committees please visit the Company's website

  • to confirm the current composition of the Management Board;
  • to convene an extraordinary general meeting of shareholders ("EGM") in the form of absentee voting on 31 July 2014 to vote on the merger of its subsidiary CJSC Uralkali-Technology into the Company, as well as the cancellation of 100% of CJSC Uralkali-Technology shares and Uralkali shares owned by CJSC Uralkali-Technology (12.5% of Uralkali's share capital). After the merger is completed, Uralkali's share capital will decrease by the amount of shares currently owned by CJSC Uralkali-Technology; shareholders registered as at 20 June 2014 will be eligible to participate in the EGM.
