Majority shareholder merged into its parent company
Budapest, December 28, 2017 - WABERER'S INTERNATIONAL Nyrt., (hereinafter: Waberer's) the European leader in full truckload (FTL) transportation, announces that its direct majority shareholder CEE Transport Holding B.V. merged into its parent company CEE Holding B.V. with effect from December 23, 2017.
CEE Holding B.V. (formerly known as: CEE Holding Coöperatief U.A.; registered address: Herikerbergweg 238, Luna Arena, 1101 CM, Amsterdam, The Netherlands) had a 100% stake in its subsidiary CEE Transport Holding B.V. (i.e. in the former majority shareholder of Waberer's) before the merger. The extent of CEE Holding B.V.'s shareholding and control in Waberer's remained unchanged after the merger and have only been altered in the aspect that its shareholding and control changed from indirect to direct as a result of the merger.
Furthermore, with effect from December 27, 2017, the central administration and place of effective management of CEE Holding B.V. was transferred from the Netherlands to Luxembourg. As a result, CEE Holding B.V.'s corporate form, in addition to already being a Dutch law B.V., also became a Luxembourg law S.à r.l. In line with this, the new corporate name of CEE Holding B.V. is B.V. CEE Transport Holdco S.à r.l.
B.V. CEE Transport Holdco S.à r.l. is a portfolio investment company that continues to be ultimately owned and controlled by Mid Europa Partners.
