The following information is required to be provided to ASX Limited for release to the market in connection with the official quotation and deferred settlement trading of Westfield Corporation stapled securities, comprising one share in Westfield Corporation Limited ("WCL"), one unit in WFD Trust ("WFDT") and one unit in Westfield America Trust ("WAT").
Each of Westfield Holdings Limited, Westfield Management Limited as responsible entity of Westfield Trust and Westfield America Management Limited as responsible entity of Westfield America Trust (together, "Westfield Group") confirms that all conditions precedent to the Proposal to restructure Westfield Group and merge its Australian and New Zealand operations with Westfield Retail Trust have been satisfied or waived, and the Proposal will proceed.
Nature of stapled listingASX reserves the right (but without limiting its absolute discretion) to remove WCL, WFDT and WAT from the official list if any of their units or shares (as applicable) cease to be stapled together, or any equity securities are issued by WCL, WFDT or WAT which are not stapled to equivalent securities in the other entities comprising Westfield Corporation.

Westfield Group confirms that it is in compliance with its continuous disclosure obligations under Listing Rule
3.1 as at the time of this disclosure.
