ASX & MEDIA ANNOUNCEMENT ASX WAIVERS GRANTED
Wolf Petroleum Limited (ACN 116 249 060) (Company) hereby advises that the Australian
Securities Exchange (ASX) has today granted a waiver to the Company from ASX Listing Rules
9.1.3 and 14.7 as set out below.
The waiver from ASX Listing Rule 9.1.3 allows the Company to apply the ASX escrow restrictions to the Company shares issued to shareholders of Wolf Operations Pty Ltd (Wolf Operation Shareholders) pursuant to its acquisition of the issued capital of Wolf Operations Pty Ltd (Wolf Operations) as follows:
a) the Company shares issued to Wolf Operation Shareholders who are unrelated parties of the Company will be escrowed for 12 months from the date that they received their shares in Wolf Operations - this will mean that no Company shares issued to unrelated Wolf Operation Shareholders will be escrowed, as all Wolf Operation Shareholders subscribed for their shares in Wolf Operations more than 12 months ago; and
b) the Company shares issued to Wolf Operation Shareholders who are related parties or promoters of the Company will be escrowed for a period of 24 months from the date quotation of these Company shares re-commences. However cash formula relief will be available to these Company shareholders.
At the Company's Annual General Meeting held on 22 October 2012, the Company's
shareholders passed resolutions to issue up to 5,000,000 fully paid ordinary shares and
5,000,000 options exercisable at $0.25 each on or before 31 December 2016 to related parties within 1 month of the Annual General Meeting (Related Party Securities)
The ASX has granted the Company a waiver from Listing Rule 14.7 to enable the Company to issue the Related Party Securities no later than 22 January 2013.
