EXTENSION OF LONG STOP DATE RELATING TO

THE MAJOR TRANSACTION

Reference is made to the announcement issued by Yuzhou Properties Company Limited (the "Company") dated 15 January 2018 in relation to, among other things, the Sale and Purchase Agreement and the transactions contemplated thereunder, the announcement dated 20 February 2018 in relation to delay in despatch of the Circular, the announcement dated 19 April 2018 in relation to the supplemental agreement, the announcement dated 30 April 2018 in relation to further delay in despatch of the Circular and the announcement dated 3 May 2018 in relation to grant of waiver (collectively, the "Announcements").

On 11 May 2018, the parties to the Sale and Purchase Agreement entered into the second supplemental agreement to extend the date for fulfillment of the conditions precedent set out in the Sale and Purchase Agreement to 30 June 2018 (or such later date as the parties may agree in writing). Save as aforesaid, all other terms and conditions of the Sale and Purchase Agreement shall remain unchanged.
