• To enter into (i) a quota purchase agreement with TotalEnergies Marketing Afrique SAS pursuant to which the Company shall acquire a 50% stake in
  TotalEnergies Marketing Egypt LLC (the
  "Acquisition") for: (a) an initial consideration of approximately US$185,900,000 (subject to certain adjustments); and (b) additional consideration of up to approximately US$17,300,000 (if certain conditions are satisfied) and (ii) ancillary transaction documents. Completion of the Acquisition is subject to the satisfaction of certain conditions, including customary regulatory approvals; and
• Certain matters relating to the general assembly of one of the Company's subsidiaries.
