VOLUNTARY ANNOUNCEMENT

THE ISSUANCE OF SUBSCRIPTION SHARES

TO SENIOR EMPLOYEES

Reference is made to the announcement of Aidigong Maternal & Child Health Limited (the "Company", together with its subsidiaries, the "Group") dated 12 March 2021 (the "Announcement") and the circular dated 26 July 2019 (the "Circular"), in relation to, among other things, the issuance of subscription shares under specific mandate. Unless otherwise defined, capitalised terms used herein shall have the same meanings as defined in the Announcement and Circular.

The Company will issue up to an aggregate of 264,099,966 Shares under the First Subscription to Ms Zhu Yufe（i 朱昱霏） , who is the Joint Chairman and executive Director of the Group, and the 22 relevant employees of the Group ("Relevant Employees"), at the predetermined subscription price of HK$0.7 per Share, and the completion date for the subscription is expected to be no later than 30 June 2021 and there will be no lock-up period for such Shares. The subscription is subject to the condition that the Aggregate Net Profits of Shenzhen Aidigong Maternity Health Management Co., Ltd.*（深圳愛帝宮母嬰健康管理股 份有限公司） ("Shenzhen Aidigong") for the financial years from 2018 to 2020 be amounted to not less than RMB197,000,000. The actual quantity are listed as below.

The Relevant Employees are all senior staff of Shenzhen Aidigong, and Zhu Yufei, Li Jun, and Du Lijuan are also senior staff of Guangdong Wanjia Health Industry Group Co., Ltd.*（廣 東萬佳健康產業集團有限公司）, which is a wholly-owned subsidiary of the Company and the controlling shareholder of Shenzhen Aidigong. The Company believes that the issuance of Shares to the Relevant Employees express our recognition of their contribution to the Group. This will motivate and reinforces the Relevant Employees' sense of belonging and will in turn promote the business performance of the team.
