MATERIAL FACT

São Paulo, December 16th, 2022 - ALLPARK EMPREENDIMENTOS PARTICIPAÇÕES E SERVIÇOS S.A. (B3: ALPK3) ("Company" or "Estapar"), in compliance with article 157, § 4º, of Law No. 6.404, dated as of December 15, 1976, as amended, and article 2 of CVM Resolution No. 44, dated as of 2021, as well as with the Novo Mercado Rules, informs its shareholders and the general market that, at a meeting of the Board of Directors held on this date, the directors became aware of the terms of resignation presented by Mr. André Iasi, to the position of Chief Executive Officer, and Mr. Emílio Salgado Salgado Junior, to the positions of Chief Financial Officer and of Investor Relations Officer, both elected at the Company's Board of Directors' Meeting held on May 10, 2022.

As a result of the resignations presented, the Board of Directors elected, in a meeting held on this date, as replacements to the resigning Officers: Mr. Emílio Sanches Salgado Junior to the position of Chief Executive Officer of the Company, and Mr. Daniel Henrique Nogueira Soraggi e Castro to the positions of Chief Financial Officer and of Investor Relations Officer, both elected until the first meeting of the Board of Directors following the ordinary general shareholders meeting to be held in 2024.

The management elections approved at the Board of Directors' meeting held on this date are in line with the procedures set forth in the Company's Bylaws, Regulations and Internal Policies (including the Policy for Appointing Members of the Board of Directors, Committees and Board of Executive Officers).
