1. Introduction

   On 7 February 2017, Silver Creek Capital Pte. Ltd. ("Offeror"), an entity jointly owned by Dr. Stephen Riady ("SR") and Dr. Andy Adhiwana ("AA"), announced a voluntary conditional cash offer ("Offer") for all the issued and paid-up ordinary shares ("Shares") in the capital of Auric Pacific Group Limited ("APGL"), other than those which are owned, controlled or agreed to be acquired by the Offeror or by its Concert Parties. The offer document setting out the terms and conditions of the Offer ("Offer Document") was despatched on 21 February 2017.

   The Offeror announced on 17 March 2017 that as it and its Concert Parties hold (including valid acceptances of the Offer) more than 90% of the total number of Shares in issue, the Acceptance Condition has been satisfied and the Offer is declared unconditional in all respects.

   Unless otherwise defined, capitalised terms in this announcement ("Announcement") have the same meanings as defined in the Offer Document.

2. Despatch of Reminder Letters

   On 28 March 2017, the Offeror has despatched reminder letters to (a) CPFIS Investors and SRS Investors and (b) Shareholders who have not accepted the Offer as at 17 March 2017 ("Remaining Shareholders"). The reminder letters recap details of the Offer, including the final Closing Date of the Offer (5.30 p.m. on 7 April 2017), the date on which trading of Shares on the SGX-ST would be suspended (9.00 a.m. on 10 April 2017), the date on which APGL would be delisted (9.00 a.m. on 17 April 2017) and how Shareholders who have not accepted the Offer may accept the Offer. The reminder letter to CPFIS Investors and SRS Investors and the reminder letter to the Remaining Shareholders are attached to this Announcement.

   Shareholders who have accepted the Offer will not need to take any further action.
