Ausy : Conditions precedent met for planned cash tender offer

On 20 June 2016, Randstad France (the "Initiator") and AUSY ("Ausy") announced the particulars of a planned cash tender offer (the "Offer") from Randstad France to purchase AUSY securities.

Under the terms of this planned Offer, the Initiator intends to offer the holders of Ausy securities

€55.00 per share and €63.25 (plus accrued interest) per bond redeemable for cash and/or new and/or existing shares (ORNANE) issued by Ausy.

The filing of the Offer was subject to clearance from (i) European and US competition authorities (authorisations obtained on 16 August 2016 and 7 July 2016 respectively), (ii) the Commission de Surveillance du Secteur Financier au Luxembourg (Luxembourg's financial sector supervisory authority, whose authorisation was obtained on 11 August 2016) and (iii) the French Ministry of the Economy, Industry and Digital Sector for the control of foreign investments in France.

As the latter of these authorisations was recently granted, the Offer will be filed shortly. The Offer is still subject to be reviewed by the French financial markets authority (AMF) and Ausy's staff representative bodies in accordance with the applicable regulations.

As a reminder, redeemable share subscription and/or acquisition warrants (BSAAR) issued by Ausy are invalid as of 20 October 2016.
