Item 5.07. Submission of Matters to a Vote of Security Holders.
On December 16, 2022, B. Riley Principal 250 Merger Corp. (the "Company") held
its annual meeting for 2022 (the "Annual Meeting"). At the Annual Meeting, a
total of 20,265,756 (91.442%) of the Company's issued and outstanding shares of
common stock held of record as of November 10, 2022 were present virtually or by
proxy. The Company's stockholders voted on the following proposals at the Annual
Meeting, each of which was described in more detail in the Company's definitive
proxy statement filed with the U.S. Securities and Exchange Commission on
November 16, 2022.
1. The Director Election Proposal
To elect Samuel McBride and Timothy Presutti to serve as Class I directors until
the second annual meeting following the Annual Meeting or until their respective
successors are duly elected and qualified. Each of Samuel McBride and Timothy
Presutti was elected to serve as a Class I director until the second annual
meeting following the Annual Meeting or until his successor is duly elected and
qualified. Set forth below are the results of the stockholder vote for each

2. The Auditor Ratification Proposal
To ratify the appointment of Marcum LLP as the Company's independent registered
