Current Report 3/2021 Changes to the Composition of BOŚ S.A. Management Board - publicised on 10 Feb. 2021.

In accordance with Par. 5 Item 5 of the Finance Minister's Ordinance of 29 March 2018 on current and periodic information presented by issuers of securities and on the terms of acceptance as equivalent of information required by the laws of a non-member state (Journal of Laws of 2018, item 757), with reference to Current Report 10/2019 the

Management Board of Bank Ochrony Środowiska S.A. (Bank) domiciled in Warsaw, hereby informs that the Bank Supervisory Board, at the meeting of 10 February 2021 adopted resolutions on:

- the appointment of Ms Marzena Koczut, effective from 10 February 2021, to the position of Vice President of Management Board of Bank Ochrony Środowiska S.A. - for the joint three-year term, commenced on 18 June 2020, i.e. on the day following the approval, by the Ordinary General Meeting of Bank Ochrony Środowiska S.A., of the Financial Report of Bank Ochrony Środowiska S.A. for the year ended 31 December 2019.

- the appointment of Mr Robert Kasprzak, effective from 15 February 2021, to the position of Vice President of Management Board of Bank Ochrony Środowiska S.A. - for the joint three-year term, commenced on 18 June 2020, i.e. on the day following the approval, by the Ordinary General Meeting of Bank Ochrony Środowiska S.A., of the Financial Report of Bank Ochrony Środowiska S.A. for the year ended 31

December 2019.

Ms Marzena Koczut and Mr Robert Kasprzak fulfil the requirements set forth in the provisions of art. 22aa of the Banking Act of 29 August 1997.

In accordance with submitted declarations, Ms Marzena Koczut and Mr Robert Kasprzak:

- are not performing any activities competitive towards the operations of BOŚ S.A.,

- are not involved in any competitive company as partners in a civil law partnership or other partnership,

- are not involved in any legal entity performing activities competitive towards the operations of the Bank as members of that entity's authorities,

- are not recorded in the Register of Insolvent Debtors, maintained under the Act on the National Court Register.

Ms Marzena Koczut is a graduate of Canadian Executive Master of Business Administration - CEMBA studies conducted by SGH Warsaw School of Economics in cooperation with Université du Québec à Montréal (UQAM) and is a holder of a

Bachelor of Commerce diploma with an honorary mention, specialisation in Finance and Accounting, of the McGill University of Montreal, Canada.

In addition to her professional work, Marzena Koczut has fulfilled multiple training programs, including: leadership, strategic management, corporate governance, marketing, capital markets, training program for candidates for supervisory board members. She as well holds PRINCE2 certificate.

Ms Marzena Koczut is a manager with over 20 years of experience in management in various market circumstances in Poland, Central European countries and in North America. She ran projects to implement changes in companies and organisations and conducted complex restructuring processes, including optimisation and operational and cost efficiency improvement, managed interdisciplinary and international teams. Ms Koczut was ranked on the list of Top 200 most influential women - ranking of Institute of Innovative Economy (IIG) - "Women in Finance" (2015).

Having graduated from McGill University and completed a one-year internship in Toronto Dominion Bank, for over a dozen years Marzena Koczut worked in a Canadian financial institution supporting economic competitiveness Export Development Canada (EDC), initially as Financial Analyst, later as Financial Director, Regional Director, and finally as Head of EDC Representation in Central Europe. In 2005 Marzena Koczut opened EDC Representation in Central Europe and was in charge of developing business operations in all sectors and managing an international team and operations in 6 countries: PL, SK, CZ, HU, SI, AT.

From 2010, as Vice president of Management Board of PKO BP BANKOWY Powszechne Towarzystwo Emerytalne S.A. Polska was in charge of managing sales and back-office areas. Ms Koczut's role was, among other things, to convert the

Company, optimise its internal processes, shape and implement a development strategy.

Marzena Koczut successfully completed market's first takeover of Open Pension Fund

(OFE Polsat taken over by PKO BP BANKOWY PTE).

Between 2016 and 2019 Ms Marzena Koczut, as Management Board President of LOTOS Lab Sp. z o.o., among others, directly managed the strategy, development and innovation division. She implemented major changes to the Company structure and ntroduced a new organisational culture. Ms Koczut prepared the Company for the role of an executor of GK LOTOS innovation strategy.

Since 2020 Ms Marzena Koczut has been Advisor to the Minister of Climate and Expert of the National Fund for Environment Protection and Water Management for financial funds and instruments regarding support of Climate Transformation programs, including: development of a private capital mobilization strategy and new financial solutions to optimise utilisation of existing funds and funds dedicated to climate transformation.

From November 2019, Supervisory Board Member, Member of Audit Committee of

Polski Gaz Towarzystwo Ubezpieczeń Wzajemnych na Życie (life insurance company).

From October 2020, Member of Supervisory Board of Bank Ochrony Środowiska S.A.,

and from December 2020, delegated to temporarily perform the duties of BOŚ S.A.

Management Board Member.

Mr Robert Kasprzak is a graduate of SGH Warsaw School of Economics (Finance and Banking). He started his professional career in Bank Handlowy, where he managed the foreign currency investment portfolio, and afterwards, on behalf of Credit Suisse First Boston London, cooperated with banks on the secondary market of Eurobonds and Brady bonds. Mr Kasprzak gained further experience in Bank BPH andCitibank Handlowy as Director withing the Treasury area supervising a sales team that serviced financial institutions and other institutional investors.

Between 2007 and 2008, in Societe Generale London (Office in Warsaw) Robert Kasprzak worked as Director in charge of sale of investment and risk-mitigating products in the Central and Eastern Europe region and sale of structured investment and derivative products to financial institutions in Poland, Czech Republic, Slovakia and Hungary.

Between 2008 and 2012, as Deputy Director of Research&Development Department and Investment Products Director in Union Investment TFI Mr Kasprzak was in charge of developing products for individual, corporate and financial institutional clients (insurance companies). In 2012-2013, Sales Department Director and Management Board Member in Opera TFI, and from 2013 in Bank Gospodarstwa Krajowego - first, Structured Finance Department Director and then, Managing Director in the Product Management Division in charge of structured financing, transactional banking, guarantees, endorsements and development of loan products.

Art. 56 section 1 item 2 of the Act on public offer and terms of introducing financial instruments into organised turnover system and on public companies of 29 July 2005.
