Item 8.01 Other Events.

On August 13, 2020, Bay Banks and Blue Ridge Bankshares, Inc. ("Blue Ridge") issued a joint press release announcing the execution of an Agreement and Plan of Reorganization, dated as of August 12, 2020, pursuant to which Blue Ridge and Bay Banks will merge, subject to the terms and conditions set forth therein (the "Merger").
