Court Sanction of Scheme of Arrangement

Berendsen plc ('Berendsen') announces that the High Court of Justice in England and Wales has today sanctioned the scheme of arrangement under Part 26 of the Companies Act 2006 (the 'Scheme') by which the recommended offer made by Elis SA ('Elis') to acquire the entire issued and to be issued share capital of Berendsen (the 'Transaction') is being implemented.

There has been no change to the expected timetable of principal events for the Transaction set out on pages 1 and 2 of the scheme document published on 28 July 2017 in relation to the Transaction (the 'Scheme Document'). Accordingly, it is still anticipated that the Effective Date of the Scheme will be 12 September 2017, as that is the date that the Court Order is expected to be delivered to the Registrar of Companies.

The Scheme Record Time will be 6.00 p.m. on 8 September 2017. No transfers of Berendsen Shares will be registered after that time.

An application has been made for the suspension of trading in Berendsen Shares on the London Stock Exchange's main market for listed securities and the listing of Berendsen Shares on the UK Listing Authority's Official List. The suspensions are expected to take effect from 7.30 a.m. (London time) on 11 September 2017.

The cancellation of Berendsen Shares on the premium listing segment of the UK Listing Authority's Official List and the cancellation of admission to trading of Berendsen Shares on the London Stock Exchange's main market for listed securities have also been applied for and, subject to the Scheme becoming Effective, are expected to take effect at 8.00 a.m. (London time) on 13 September 2017.

Full details of the Transaction are set out in the Scheme Document. Capitalised terms used but not otherwise defined in this announcement (the 'Announcement') have the meanings given to them in the Scheme Document.

If two or more persons act together pursuant to an agreement or understanding, whether formal or informal, to acquire or control an interest in relevant securities of an offeree company or a securities exchange offeror, they will be deemed to be a single person for the purpose of Rule 8.3.
