REPLACEMENT OF BOARD MEMBERS

APPOINTMENT OF THE NEW CHAIRMAN OF THE BOARD OF DIRECTORS

Piacenza, April 1st, 2016 - BOLZONI S.p.A. (BLZ.MI) announced that - considering the change of ownership of Bolzoni S.p.A., according to the terms already disclosed to the market - the non-executive directors Mr. Franco Bolzoni, Mr. Pier Luigi Magnelli and Mr. Paolo Mazzoni had resigned from their respective offices, effective as of the date hereof. The non-executive director Mr. Pier Luigi Magnelli was also member of the Internal Control and Risk Committee, the Remuneration Committee and the Compliance Committee pursuant to Legislative Decree no. 231/2001.

Moreover, Bolzoni S.p.A. announced that, following the change of ownership of Bolzoni S.p.A., Mr. Emilio Bolzoni had announced his decision to resign from his office as Chairman of the Board of Directors of Bolzoni

S.p.A. and to waive all powers of attorney delegated to him by the Board, though maintaining the office of non- executive director.

The Board of Directors, convened on urgency basis and held on the date hereof, after having thanked Mr. Franco Bolzoni, Mr. Pier Luigi Magnelli and Mr. Paolo Mazzoni for their significant efforts and professionalism carrying out their offices, and also after having thanked with emotional involvement Mr. Emilio Bolzoni for his commitment to work and his competences shown during all these years leading the Company, resolved:

1. with the consent of the Board of Statutory Auditors, to appoint, pursuant to the provisions of law and by- laws of Bolzoni S.p.A., Mr. Alfred M. Rankin, Jr., Mr. Colin Wilson and Mrs. Suzanne Schulze Taylor as new directors of Bolzoni S.p.A., thus replacing Mr. Franco Bolzoni, Mr. Pier Luigi Magnelli and Mr. Paolo Mazzoni who had resigned from their offices;

   
   

2. to appoint Mr. Roberto Scotti, the managing Director of the Company presently in charge, as new Chairman of the Board of Directors of Bolzoni S.p.A.
