BOLZONI S.P.A. Piacenza (Italy), March 4th, 2016 - BOLZONI S.p.A. (BLZ.MI) announces that the German Antitrust Authority ("Bundeskartellamt") unconditionally approved the acquisition by Hyster-Yale Materials Handling, Inc., of the indirect control of Bolzoni S.p.A., whose shares are listed and traded on the STAR segment of the Italian stock exchange ("Mercato Telematico Azionario") operated and managed by Borsa Italiana S.p.A., pursuant to the terms and conditions set forth in the definitive agreement whereby Hyster-Yale Materials Handling, Inc. agreed to acquire all the outstanding shares in Penta Holding S.p.A., which is the holder of a majority interest in Bolzoni S.p.A., as previously announced to the market.
The envisaged timing for closing the transaction as previously announced to the market, i.e. during the 2nd quarter of 2016, is thus confirmed and all parties involved in the transaction are working diligently to satisfy the remaining closing conditions and perform the required actions that are still outstanding under the terms of the agreement with a view to closing the transaction as early as practicable in such timeframe.
