COOPTATION OF NEW DIRECTOR

INTEGRATION OF THE MEMBERS OF THE AUDIT AND RISK COMMITTEE, THE REMUNERATION COMMITTEE AND THE COMPLIANCE COMMITTEE IN COMPLIANCE WITH LEG. DECREE 231/2001

Piacenza, March 9, 2016 - BOLZONI S.p.A. (BLZ.MI) informs that the Board of Direcors, in today's meeting chaired by Emilio Bolzoni, has approved the appointment by cooptation, as non-executive, independent director of the Company, of Gloria Francesca Marino in replacement of Elena Zanconti, who resigned from office on February 24, 2016.

On the basis of the acquired information, the Board of Directors - with the approval of the Statutory Board of Auditors - has expressed its positive evaluation on the existence of the independency requisites with regards to Gloria Francesca Marino, pursuant to the Governance Code for listed companies and to 147-ter of Leg. Decree

n. 58 dated February 24, 1998, ("TUF").

As at the date of today Marino does not own any shares of the Company.

During the same meeting, the Board of Directors has also resolved to:

1. reintegrate the Audit and Risk Committee, by appointing the director Claudio Berretti as committee member. The Audit and Risk Committee is now made up of the directors Patrizia Rossi, Chairman, Pier Luigi Magnelli and Claudio Berretti;

   
   

2. reintegrate the Remuneration Committee, by appointing the director Claudio Berretti as committee member. The Remuneration Committee is now made up of the directors Patrizia Rossi, Chairman, Pier Luigi Magnelli and Claudio Berretti;

   
   

3. reintegrate the Compliance Committee established in accordance with Leg.Decree n. 231/01, by appointing the director Claudio Berretti as committee member. The Compliance Committee is now made up of the directors Patrizia Rossi, Pier Luigi Magnelli and Claudio Berretti. The Compliance Committee will elect one of its members as chairman.
