EXTENSION OF LONG STOP DATE OF ISSUE OF NEW SHARES

UNDER GENERAL MANDATE

Reference is made to the announcement of China Green (Holdings) Limited (the "Company") dated 10 October 2018 (the "Announcement") in relation to the subscription of 360,882,352 new shares of the Company under the general mandate. Unless otherwise defined, capitalised terms used herein shall have the same meanings as defined in the Announcement.

Given that additional time is required for fulfilment of the conditions precedent set out in the Subscription Agreement, the Company and the Subscriber have entered into a supplemental agreement to the Subscription Agreement on 8 November 2018 (after trading hours), whereby the parties agreed to extend the Long Stop Date from 8 November 2018 to 28 November 2018 or such other date as may be mutually agreed between the Company and the Subscriber.

Save and except for the aforesaid extension of the Long Stop Date, all other terms and conditions of the Subscription Agreement remain unchanged and continue in full force and effect.
