INSIDE INFORMATION - DISMISSAL OF WINDING UP PETITION

This announcement is made by China Smarter Energy Group Holdings Limited (the "Company") pursuant to Rules 13.09(2)(a) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Reference is made to the announcements of the Company dated 15 May 2020 and 20 May 2020 regarding the winding-up petition issued against the Company on 15 May 2020 with Cheer Hope being the petitioner (the "Cheer Hope Petition") and the announcement of the Company dated 1 February 2021 regarding, among other things, the entering of the settlement agreement by the Company with, inter alia, Cheer Hope (the "Cheer Hope Settlement Agreement") (collectively, the "Announcements"). Unless otherwise defined, capitalized terms used herein shall have the same meanings as those defined in the Announcements.

The board of directors of the Company (the "Board") announces that the Petitioner and the Company had executed and filed a consent summons to the High Court to dismiss the Cheer Hope Petition. On 30 April 2021, the Company received the sealed court order from the High Court that, inter alia, the Cheer Hope Petition was dismissed.
