ANNOUNCEMENT

RESIGNATION OF CHIEF FINANCIAL OFFICER

The board (the "Board") of directors (the "Directors") of China ZhongDi Dairy Holdings Company Limited (the "Company") hereby announces that, Ms. He Shan ("Ms. He") resigned as the chief financial officer of the Company to devote more time with her family, with effect from 18 September 2020.

Ms. He has confirmed that she has no disagreement with the Board and there is no other matter in relation to her resignation that needs to be brought to the attention of the shareholders of the Company.

The Board would like to express its gratitude to Ms. He for her efforts and valuable contribution to the Company during her tenure of office.
