Regulatory News:

At the extraordinary general meeting of Cision AB (publ)(STO:CSN) held today, May, 20 2014 in Stockholm, the following resolutions were adopted.

· It was resolved that the board of directors shall consist of five directors, with no deputy directors;

· In light of the short period in time between the extraordinary general meeting and the annual general meeting 2014, where a resolution regarding remuneration to the directors of the board will be passed, it was resolved that no remuneration be paid for the interim period between the shareholders’ meetings. The resolution regarding remuneration to the directors of the board shall be passed at the annual general meeting; and

· Lawrence C. Fey, Mark M. Anderson, Cedric Bradfer, Peter Lundin and Ronan Carroll were elected as directors of the board for the time until the end of the next annual shareholders’ meeting. Lawrence C. Fey was elected as chairman of the board.

Lawrence C. Fey (born 1980) is a principal of GTCR. Prior to joining GTCR, Larry worked in the Mergers, Acquisitions and Restructuring/Corporate Finance group at Morgan Stanley. He holds a BA in economics (cum laude) from Dartmouth College. He currently is a director of CAMP Systems, Global Traffic Network and Mondee. In addition, Larry was previously a director of GTCR investments in Zayo Group and Six3 Systems and was heavily involved in past GTCR investments Cellnet, Solera and Landmark Aviation. Dependent in relation to larger shareholders, independent in relation to Cision and its management. Shareholding in Cision: 0.

Mark M. Anderson (born 1975) is a managing director of GTCR. He previously worked at Gracie Capital and at Bowles Hollowell Conner & Co. He holds an MBA from Harvard Business School and a BS from the McIntire School of Commerce at the University of Virginia. Mark currently is a director of CAMP Systems, Global Traffic Network, IQNavigator, Mondee, Rural Broadband Investments, Sorenson Communications and Land Lease Group. In addition, Mark was previously a director of GTCR’s past investment Landmark Aviation and was instrumental in other GTCR investments, including Skylight Financial, Solera and Transaction Network Services. Dependent in relation to larger shareholders, independent in relation to Cision and its management. Shareholding in Cision: 0.

Cedric Bradfer (born 1978) graduated in Management and Accounting, specializing in Tax, in Belgium and Luxembourg. He currently serves on a number of boards and has held senior positions of a global fiduciary company. Independent in relation to larger shareholders, as well as Cision and its management. Shareholding in Cision: 0.

Peter Lundin (born 1976) holds a master of Arts in Diplomacy and International Relations (summa cum laude) from Seton Hall University, New Jersey, USA and a bachelor of Science in Psychology (magna cum laude) from Montclair State University, New Jersey, USA. He currently serves on a number of boards and has been internal auditor of a global fiduciary company. Independent in relation to larger shareholders, as well as Cision and its management. Shareholding in Cision: 0.

Ronan Carroll (born 1971) is a Fellow of the Association of Chartered Certified Accountants (ACCA) and currently serves on a number of boards. Independent in relation to larger shareholders, as well as Cision and its management. Shareholding in Cision: 0.
