Item 7.01 Regulation FD Disclosure.

On April 6, 2023, Viveon Health Acquisition Corp. ("Viveon Health") and Clearday, Inc. ("Clearday") issued a joint press release announcing the signing of a definitive agreement (the "Merger Agreement") for a proposed business combination between the two companies (the "Business Combination"). A copy of the press release is furnished hereto as Exhibit 99.1.

Furnished as Exhibit 99.2 is the investor presentation that will be used by Viveon and Clearday in connection with the Business Combination and related matters.

The information in this Item 7.01 and Exhibits 99.1 and 99.2 attached hereto shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act or the Exchange Act, except as expressly set forth by specific reference in such filing.

Important Information About the Proposed Business Combination and Where to Find It

In connection with the proposed business combination, Viveon Health will file a registration statement on Form S-4 containing a preliminary proxy statement/prospectus (the "Form S-4") with the SEC.
