On December 21, 2022, our common stock was suspended from trading on the NASDAQ Global Select Market ("NASDAQ"). On December 21, 2022, our common stock began trading on the OTC Pink Marketplace maintained by the OTC Markets Group, Inc. under the symbol "CLVSQ." On December 29, 2022, NASDAQ filed a Form 25 delisting our common stock from trading on NASDAQ, which delisting became effective at the opening of the trading session on January 9, 2023.

Item 2.01 Completion of Acquisition or Disposition of Assets.

Sale of FAP-2286

As previously disclosed, on December 11, 2022, Clovis Oncology, Inc. (the "Company") and certain of its subsidiaries, Clovis Oncology Ireland Limited and Clovis Oncology UK Limited (together with the Company, the "Debtors") filed voluntary petitions under Chapter 11 of the United States Bankruptcy Code (the "Bankruptcy Code") in the United States Bankruptcy Court for the District of Delaware (such court, the "Court" and such cases, the "Cases").

As previously disclosed, on December 11, 2022, the Company entered into a purchase and assignment agreement (as amended, the "Purchase and Assignment Agreement") with Novartis Innovative Therapies AG ("Novartis") to sell substantially all of the rights of the Company to its pipeline targeted radionuclide therapy clinical development program, FAP-2286,including the Company's in-licensing agreementwith 3B Pharmaceuticals GmbH (the "FAP Sale Transaction"). A copy of the Purchase and Assignment Agreement was filed as Exhibit 10.1 to the Company's Current Report on Form 8-Kfiled with the Securities and Exchange Commission on December 13, 2022, which is incorporated herein by reference.

On March 21, 2023, the Court approved the FAP Sale Transaction.

On April 14, 2023, the Company and Novartis consummated the FAP Sale Transaction.
